ABSTRACT:-
From registering in the company to protecting your brand, there are some important steps involved in starting a business. Trademarks and company registration are each important in their own right but it serve different functions. Company registration creates a legal entity and trademark registration creates an identity of the brand. Entrepreneurs need to know the distinction because the business and brand must be protected legally and comprehensively.
INTRODUCTION:-
When starting a business, many entrepreneurs often wonder if it will be enough to register a company name and if other measures are needed to protect their business brand. Company registration is a separate legal process from that of trademark registration, giving maximum protection to the name of the business or individual. Company registration merely establishes a legal entity for doing business within a country, while trademark registration is for the protection of the brand as a whole, including its name, logo, and slogan.1
PURPOSE:-
Trademark Registration: The first and foremost purpose for obtaining trademarks is to protect the identity of the business brand itself. In this sense it sometimes might concern the brand name, or the logo or even the slogan for that matter, against any use of similar marks for related goods or services by others. Furthermore, trademark registration helps a business to clearly distinguish itself from its competitors, as well as enabling the consumer to recognize and trust the brand more easily.
Company Registration: Company registration, on the other hand, is establishing a legal entity that can operate under a certain name and be held responsible for its actions. By this process, several legal rights and obligations concerning the company are also conferred such as obtaining necessary licenses and permits to operate the business.2
SCOPE:-
Trademark Registration: Trademark registration is a limited track of goods or services pertaining to the brand name, logo, or slogan being registered. The scope of protection by the trademark is limited within the confines of category trust where the trademark is registered.
Company Registration: A company registration covers everything from the name of the business to the legal structure through to its operations. The legal framework under which the business operates within a particular jurisdiction would be: Company Name Registration.3
LEGAL PROTECTION:-
Rights: The right of exclusive use of any such mark will go to the user in respect of the trademark class under which the mark was registered under trademark registration. That secures the intellectual property of a business against use of any similar nomenclature, logos, or symbols by another business. The law provides the trademark owners with remedies for their trademark infringement which can take the form of injunction or damages.
Company Registration: Company registration provides overall legal protection to the business entity, irrespective of the goods or services it provides. It means that the company has a legal identity separate from that of its owners, with separate and distinct assets and liabilities. In this way, the assets of the company are protected as well as its ability to sue or be sued.4
CHALLENGES:-
Struggles with Trademark Registration
- Ensuring the uniqueness of brand names, logos, or slogans.
- Carrying out an exhaustive trademark search to prevent any clashes.
Problems Related to Company Registration
- Properly evaluating the type of appropriate business structure. - Meeting the requisite legal and statutory compliance.5
EXCLUSIVITY:-
Trademark Registration: The owner of a trademark is given the sole right to use it with the goods or services for which it was registered. This further prohibits competitors from using any similar marks that might end up confusing consumers' minds.
Company Registration: Company registration is protection against the exact or similar name registration of another company. However, it does not confer exclusive rights to that name as a brand, and others can still use that name if the trademark has not been registered.6
LAWS AND PROVISIONS:-
Trademark Registration: The safeguards provided by trademark laws, like the Trade Marks Act in India, also provide the legal framework within which protections, registration, and enforcement of a trademark fall.
Company Registration: Such laws also manage the legal requirement for registration and operation of a company: such acts are Companies Act, e.g. Company law. Here specified are the details regarding legal structure, governance and compliance of the operations of the business.7
SUGGESTIONS:-
Conduct Exhaustive Searches: Before registering a trade name or company name, there should be conducted an exhaustive search to confirm that the name in question is not already being used.
Register Both: For full protection, the corporate charter and the trademark should be registered. Registration of the enterprise confers legal personality, and the registration of a trademark protects the identity concerning activities in trade.
Seek Legal Counsel: The consultation of an attorney with strong expertise in both intellectual property law and in corporate law is essential in the follow-up of the complications of trademark registration and company registration.
Trademark: Registering a trademark helps to safeguard the brand name, logo, icons, and symbols involved.
CONCLUSION:-
Whereas trademark and company registration is critical for businesses, both have different purposes. Whereas trademark registration would protect the identity of the brand, company registration would legally establish that entity. It is essential for an entrepreneur to consider both registrations before fully being protected or compliant with the laws. If an entrepreneur makes both registrations, he will be well protected and his business operations and brand from various legal challenges.
